Terms & Conditions

Effective Date: Immediately upon access or registration.

1. PREAMBLE AND THE GLOBAL PLATFORM MODEL

  • 1.1. The Contracting Parties: These Terms constitute a legally binding agreement between you and Namcor LTD, a company incorporated in the United Kingdom (hereinafter "X-Eats," "the Platform," "We," "Us," or "Our").

  • 1.2. Trading Names: X-Eats is a registered trading name of Namcor LTD.

  • 1.3. The Service: Namcor LTD provides a digital SaaS (Software-as-a-Service) platform that facilitates logistics, lead generation, and marketplace connections. We do not prepare food, nor do we employ delivery personnel. We provide the technology that connects independent Merchants, independent Couriers, and Customers globally.

  • 1.4. Acceptance: By accessing or registering for the Platform, you agree to be bound by these Terms regardless of your physical location.

2. GOVERNING LAW AND JURISDICTION

  • 2.1. Choice of Law: These Terms and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of England and Wales.

  • 2.2. Jurisdiction: The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.

3. MERCHANT PARTNERSHIP PLANS & COMMISSION

Merchant agrees to the financial terms of their selected tier. All commissions are calculated on the Net Order Value (Item Price + Add-ons, excluding local taxes and Tips).

  • Commission Rate: 30.0%

  • Sign up Fee: $0.00

  • Monthly Fee: $0.00

  • Key Features: Basic listing & digital storefront access.

Growth Plan

  • Commission Rate: 22.0%

  • Sign up Fee: $49.00

  • Monthly Fee: $9.99

  • Key Features: Enhanced Analytics & Rotating Homepage Exposure.

Premier Plan

  • Commission Rate: 15.0%

  • Sign up Fee: $99.00 

  • Monthly Fee: $19.99

  • Key Features: Dedicated Account Manager & Static Homepage Slot.

Limited Offer Plan(Limited to First 25 Merchants)

  • Commission Rate: 12.0% "Golden Rate" for the life of the account.

  • Monthly Tech Fee: WAIVED.

  • Advertising Bonus: 3 months of complimentary "Featured Merchant" and "Banner" placements.

  • One-Time Setup Fee: $200.00

Payment Terms: All prices are in BBD. All Sign-up and Setup Fees are non-refundable. These fees cover the immediate costs of technical onboarding, digital menu engineering, and platform integration. Once onboarding has commenced, these fees cannot be reversed.

4. ADVERTISING & PERFORMANCE MARKETING

  • 4.1. Boost Tools: X-Eats provides performance-based marketing tools. Merchants may purchase visibility "boosts" via the Merchant Portal.

  • 4.2. Attribution: Ad-attributed sales are tracked via the Platform’s real-time analytics.

  • 4.3. Terms: Founding Partner complimentary advertising is valid for the first 90 days of activation and holds no cash value.

5. BILLING AND CROSS-BORDER SETTLEMENT

  • 5.1. Payouts: X-Eats (Namcor LTD) shall remit earnings to the Merchant on a Net-7 Day basis.

  • 5.2. Transfer Fees: For the first 12 months of operation, Namcor LTD agrees to subsidize and cover all international bank transfer/wire fees associated with Merchant payouts to ensure 100% of earned funds reach the Merchant's local account.

  • 5.3. Tax Responsibility: The Merchant is the "Retailer of Record." Merchant is solely responsible for the calculation and remittance of all local consumption taxes (e.g., VAT/GST) to their respective national revenue authorities.

6. INDEPENDENT CONTRACTOR STATUS

  • 6.1. No Employment Relationship: Couriers and Merchants are Independent Contractors and not employees of Namcor LTD.

  • 6.2. Lead Generation: The Platform acts solely as a lead-generation tool. Contractors provide their own equipment, insurance, and professional licenses required by their local jurisdiction.

7. DATA PROTECTION (UK GDPR)

  • 7.1. Global Standard: Namcor LTD processes all data in accordance with the UK General Data Protection Regulation (UK GDPR), providing a high global standard of privacy for all users.

  • 7.2. International Transfers: By using the platform, users consent to the transfer and storage of data on secure global cloud servers.

8. LIMITATION OF LIABILITY

  • 8.1. Liability Cap: Namcor LTD’s total liability for any claim shall not exceed the total commission fees paid by the User to X-Eats in the three (3) months preceding the claim.

  • 8.2. Service Quality: We are not liable for the quality of items provided by Merchants or the conduct of independent Couriers.
